3. Website Use

4. Enquiries and Proposals
Submitting an enquiry does not create a client relationship or guarantee availability, pricing, timelines, or acceptance of work. Proposals, estimates, and timelines are valid only for the period stated in the proposal or, if no period is stated, for 15 days from the date shared.
5. Scope of Work
Project scope, deliverables, timelines, fees, revisions, support terms, third-party costs, and responsibilities should be confirmed in writing through a proposal, invoice, email, message, or agreement. Work outside the confirmed scope may require additional fees and revised timelines.
6. Client Responsibilities
Clients are responsible for providing accurate project information, approvals, content, brand assets, credentials, product details, legal disclaimers, and timely feedback. Delays in client input may delay project delivery.
7. Payments and Taxes
Payment terms are shared in the proposal or invoice. Work may require an advance payment before commencement. Applicable taxes, platform charges, payment gateway fees, hosting, domain, plugin, ad spend, software, subscription, and third-party costs may be charged separately unless expressly included.
8. Revisions and Approvals
Included revisions are limited to the scope agreed for the project. Major changes, new features, redesigns, additional pages, new campaigns, fresh content, or changes requested after approval may be treated as additional work.
9. Cancellations and Refunds
Because digital strategy, planning, design, development, marketing, and setup work often begins soon after confirmation, advance payments and milestone payments are generally non-refundable once work has started. Any refund, credit, or cancellation arrangement must be confirmed in writing.
10. Intellectual Property
After full payment, the client receives rights to final agreed deliverables created specifically for the client, except for OceanX Agency's pre-existing materials, reusable code, internal tools, templates, frameworks, processes, know-how, licensed assets, and third-party materials. Third-party assets remain subject to their own licenses.
11. Portfolio Use
Unless agreed otherwise in writing, OceanX Agency may mention completed work, project results, screenshots, brand names, testimonials, and non-confidential deliverables in its portfolio, website, proposals, and social media.
12. Marketing, SEO, and AI Visibility Results
We work to improve visibility, performance, structure, and campaigns, but we do not guarantee specific rankings, leads, sales, ad results, AI answer placements, platform approvals, or revenue. Results can vary based on competition, budget, market demand, algorithms, client inputs, and third-party platforms.
13. Third-Party Platforms
Projects may rely on hosting providers, domain registrars, payment gateways, ad platforms, analytics tools, AI tools, social platforms, APIs, plugins, themes, and other third-party systems. OceanX Agency is not responsible for outages, policy changes, account restrictions, pricing changes, data loss, or failures caused by third-party services.
14. Confidentiality
We treat non-public client information as confidential and use it only for the agreed work, support, communication, or legal compliance. Clients should also protect OceanX Agency's proposals, pricing, strategies, access details, and non-public methods.
15. Limitation of Liability
To the maximum extent permitted by law, OceanX Agency will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, business interruption, data loss, reputation loss, or platform-related losses. Our total liability for a paid project is limited to the amount paid to OceanX Agency for the specific service giving rise to the claim.
16. Indemnity
You agree to indemnify OceanX Agency against claims, losses, penalties, costs, or damages arising from content, materials, instructions, products, services, claims, legal non-compliance, or account access provided by you.
17. Changes to Terms
We may update these Terms and Conditions from time to time. The updated version will be posted on this page with a revised date.
18. Governing Law
These Terms are governed by the laws of India. Subject to applicable law, disputes will fall under the jurisdiction of competent courts in Jhansi, Uttar Pradesh, India.
